Terms for Participating Companies
Riffleboard is run by Mizznes BV, Ransuildreef 16, 2900 Schoten, Belgium, company number 1026.527.343, VAT BE 1026.527.343. That company is the other side of this agreement. Where the clauses below say “Riffleboard”, “we” or “us”, they mean Mizznes BV.
1. No guarantees
Riffleboard does not guarantee reach, visits, entries, clicks, sales, or any other result. Figures shown on Riffleboard are measurements of past rounds, published after the fact.
2. You deliver
You are responsible for delivering what you listed, on the terms you advertised, including the 72-hour discount code for non-winners and the buy-now-refund-if-you-win rule for your own entrants.
3. Your keys and codes
We hold the licence keys and discount codes you deposit only to pass them on — prize keys to winners, discount codes to everyone who didn't win. We don't use them ourselves, redeem them, sell them, or hand them to anyone outside that round. They're yours the whole time we're holding them. Every time one of your codes is decrypted and read, that's logged, so there's a record of who touched it and when.
Codes that go unused when a round closes stay in our system, encrypted, until you ask us to delete them or we delete them 90 days after the round closes.
If we don't stick to this — use a code ourselves, hand it to the wrong person, or lose it through our own fault — you can end your listing and ask us to delete everything of yours we still hold, on top of the liability terms below.
4. You vouch for your numbers
You are responsible for the accuracy of the prize value you submit, and for the licence keys and discount codes you deposit being genuine and unused when we receive them.
5. Our discretion
We may decline an application or remove a listing at any time.
6. Rules can change between rounds
We may change ranking mechanics and pricing for visibility products between rounds. Changes don't apply retroactively to a live round.
7. Liability
Our total liability to you is capped at what you paid us in the prior 12 months. We're not liable for indirect or consequential damages, or for lost profits. That cap doesn't cover us using your keys or codes ourselves, or losing them through our own serious fault — Belgian law doesn't let a company write that away.
8. Entrant data
Riffleboard collects and stores entrant email addresses to run entries, confirmations, and the draw. Riffleboard is the data controller for that.
We don't pass you any entrant's address, and there's no way for you to ask for one. An entrant can tick a box saying they're okay hearing from you, and we store that tick with their entry, but nothing acts on it. The addresses stay with us and the ticks are only ever counted.
If we ever build that handover, we'll agree it with you separately before a single address moves. From the moment an address reaches you it's yours to answer for: your own lawful basis, your own retention, your own job when somebody asks you to delete it. An entrant's address leaving the EU to get to you also needs a transfer mechanism, and there isn't one yet.
9. Governing law
Belgian law. Mizznes BV's registered office is at Ransuildreef 16, 2900 Schoten, Belgium, and anything we can't settle between us goes to the Belgian courts for that seat.
10. Promotion law, and who answers for what
A prize draw is regulated, and never the same way twice. Some places want a registration and a bond before a draw with prizes over a threshold opens, and in some of them the wording covers you as well as us. Florida counts anybody involved in promoting, operating or conducting a promotion as an operator of it, and the company whose prize it is fits that description. We keep entries out of the places listed in the giveaway rules, and that list is where we set out our own position.
Tell us before your giveaway opens if anything about your own situation makes it a problem: a regulator you answer to, a country you can't deliver a licence into, a rule your own company operates under. Don't promote your giveaway to people in a place the rules say we're closed in. If you post about it from your own TikTok, Instagram or X account, those platforms have their own promotion rules and that account is yours to answer for, not ours.
If somebody comes after us over something that was yours — the prize wasn't what you said it was, a key didn't work, you promoted it where we're closed, your own regulator, your own account — you cover what it costs us to deal with it, including reasonable legal costs. It works the same way round: if somebody comes after you over how we ran the board or the draw, we cover that. Whoever gets the letter tells the other one straight away, and neither of us settles anything or admits anything about the other's side without asking first.
11. Paying us
Two things cost money and neither one moves your rank. A listing fee is a fixed amount for one round, the same for every company in it, off a ladder set by rounds that have already closed. A placement is what a company already at the round's cap pays to be ordered among the others at the cap. Fees are in euros excluding VAT, placements are in the dollars the board publishes, and Stripe works out the tax from the address and VAT number you give it on the payment page.
A listing fee is earned when the round opens with your listing on the board. Before that, ask and you get it back. After that we don't refund it, and it doesn't carry over to the next round.
Pressing the placement button records what you've committed to before you've paid anything, and a commitment only ever goes up. Nothing orders the board until the money actually reaches us.
A placement isn't yours for the round. The cap doesn't move while a round is running, but another company can raise its pot up to the cap partway through, and once it's level with you it can pay one step above you and take the place you bought. That happens on the board, in public, and it isn't refunded either. A pot that was already bigger than the cap stays ahead of everyone at it, and no placement passes a bigger pot. Placements expire when the round closes.
12. Reporting something on this board
If you think a listing here is illegal, tell us at the address on our legal page. Say which listing and what the problem is, and leave an address we can answer on. We'll confirm we got it. Then we decide, and you get the decision and the reason behind it. If we act on it, the company behind that listing gets the same explanation.
